In collaboration with the Lead Counsel, Global R&D and Strategy, the Senior Counsel, Global R&D and Strategy will provide practical, timely, and high-quality legal support to CSL's R&D and Business Development organizations, focusing on IP/technology licensing and M&A activities.
RESPONSIBILITIES AND ACCOUNTABILITIES:- Establish and build optimal working relationships with internal clients based on mutual trust and respect and comprehensive knowledge of the company's business and its needs and goals
- Advise Global R&D and Strategy/BD clients on a broad range of legal issues related to the research and technology licensing activities and requirements for the Group's R&D pipeline and external innovation, early stage, on-market and corporate opportunities under consideration (including in-licenses, mergers, acquisitions and divestments).
- Review, draft and negotiate agreements to support execution and progression of CSL's R&D projects through development, including material transfer agreements, collaborative research and contract research agreements, IP licensing, option agreements, technology transfer agreements, contract manufacturing agreements and services agreements.
- Provide internal counsel support on business development projects, including licensing and M&A.
- Develop and maintain a broad and deep knowledge of technology commercialization and the Group's R&D pipeline and Strategy/BD initiatives, including products, strategies, and long-term goals, to provide business-focused, highly-actionable advice to enable optimal, risk-informed decisions by the business.
- Develop and implement the legal aspects of contract strategy and execution for Global R&D and Strategy/BD and other organizations as need be, partnering with legal colleagues globally to provide outstanding customer service.
- Serve as an escalation point for the Enterprise Contracting Center in relation to agreements that are required by the Global R&D and Strategy/BD organizations.
- Develop and deliver training on legal matters on a regular and ad hoc basis.
MINIMUM REQUIREMENTS & EXPERIENCE:- Bachelors degree and Juris Doctorate.
- Relevant Bar admission or permission to practice in-house.
- Minimum of 8 years' experience with an international corporate group or law firm.
- Minimum of 5 years' of experience in the medical/scientific research, pharmaceutical or, biotech industry.
- Strong experience in drafting, advising on and negotiating a broad variety of intellectual property commercialization agreements.
- Strong understanding of intellectual property and anti-trust laws is essential.
- Experience with corporate M&A transactions.
- Ability to work in a cross-functional, cross-cultural matrixed environment.
- Strong drafting and negotiation skills required, as well as ability to produce quality work under pressure and while balancing multiple priorities.
- Strong communication, analytical, project management, problem solving, interpersonal, and teamwork skills are required.
- Team player, self-motivated, able to demonstrate a history of successfully resolving challenging legal issues, and ability to effectively deliver sound and clear legal advice in a business setting.
- Periodic travel may be required.
The expected base salary range for this position is $205,000 - $265,000. Please note this base salary range reflects the minimum and maximum pay that CSL expects to pay for this position in Waltham, Massachusetts as of the time of this posting. Individual base salary for a successful candidate is determined by qualifications, skill level, experience, competencies, and other relevant factors.
